Ecosubsea Singapore Pte Ltd passes winding-up resolutions

A notice in the Government Gazette was published on Ecosubsea Singapore Pte Ltd on Monday (4 May), regarding some resolutions that were passed in relation to the winding up of the company.

A creditors’ meeting of the company was held via video conference at 4pm on 29 April. 

Special Resolution

That the Company cannot by reason of its liabilities continue its business and accordingly the Company be wound up voluntarily, pursuant to Section 160(1)(b) of the Insolvency, Restructuring and Dissolution Act 2018.

Ordinary Resolution

That Ms Ellyn Tan Huixian of Forvis Mazars Consulting Pte. Ltd., 135 Cecil Street, #10-01 Philippine Airlines Building, Singapore 069536 be appointed as the sole Liquidator of the Company to act for the purpose of such winding up.

Manifold Times previously reported a director of Ecosubsea Singapore filing a statutory declaration (SD) with the Official Receiver’s office stating that the company cannot continue its business due to its liabilities, according to a Monday (6 April) notice on the Government Gazette. 

Bergen-based hull cleaning technology provider ECOsubsea recently said despite its exit from the Singapore market, it will continue to deploy its hull cleaning offerings from key service hubs in northern Europe following a restructure supported by new maritime investors.

Manifold Times previously reported the Appellate Division of Singapore’s High Court finding a former Director of Inter-Pacific Petroleum (IPP) not liable to pay up to USD 146 million of the company’s total USD 156 million loss. 

The decision sets aside an earlier decision by the High Court that found Dr Goh Jin Hian responsible for the company’s financial loss. 

The Appellate Division of the High Court found that even though it agreed that Dr Goh had breached his duty of care as a director, IPP has failed to show that his breach caused loss to the company.
