Singapore: Apoda Shipping Pte Ltd and related companies to be wound up voluntarily

Liquidators were appointed for the company for the purpose of winding-up affairs of the company, according to a notice released on Government Gazette.

A notice was published on Friday (5 July) on the Government Gazette to inform the passing of several resolutions for Apoda Shipping Pte Ltd and five related companies on 28 June.

The other companies involved were:

  • PLOVER SHIPPING PTE LTD
  • RAGGIANA SHIPPING PTE LTD
  • CEKAP SHIPPING PTE LTD
  • CERGAS SHIPPING PTE LTD
  • SPLENDOUR SHIPPING (2017) PTE LTD

The resolutions set out below were duly passed:

Special Resolutions

  1. “That the Company be wound up as a Members’ Voluntary Liquidation pursuant to Section 160(1)(b) of the Insolvency, Restructuring and Dissolution Act 2018.”
  2. “That the Liquidators may divide among the contributories in specie or kind the whole or any part of the assets of the Company.”
  3. “That the Liquidators be authorised to exercise any or all of the powers provided under Section 144(1)(b), (c), (d), (e), (f) and (g) of the Insolvency, Restructuring and Dissolution Act 2018.”

Ordinary Resolution

  1. “That Goh Yeow Kiang Victor, Khor Boon Hong and Lee Yi Ying, Marie care of Baker Tilly Consultancy (Singapore) Pte Ltd, 600 North Bridge Road, #05-01 Parkview Square, Singapore 188778, be appointed joint and several Liquidators for the purpose of such liquidation.”

In another notice, the liquidators of Apoda Shipping said creditors for the companies mentioned above and more are required on or before the 5 August 2024 to send in their names and addresses and particulars of their debts or claims, and the names and addresses of their solicitors (if any) to the liquidators. 

The other companies listed in the notice were:

  • FLORES SHIPPING PTE LTD
  • LOMBOK SHIPPING PTE LTD
  • PACC BANDA PTE LTD
  • NEUMETAL PTE LTD

Liquidators may also require creditors to, “come in and prove their debts or claims at such time and place as shall be specified in such notice, or in default thereof they will be excluded from the benefit of any distribution made before such debts are proved.”

Creditors of the companies will have to submit proof of debt to the liquidators of Xin Chun Shipping, Xin Guang Shipping and Xin Sheng Shipping by 18 February at 5pm by email.

Notices to declare intended dividend of Xihe Holdings Pte Ltd subsidiaries Xin Chun Shipping Pte Ltd, Xin Guang Shipping Pte Ltd and Xin Sheng Shipping Pte Ltd to their creditors have been posted on the Government Gazette on Tuesday (4 February).

According to the notices, the last day for creditors of the companies to submit proof of debt to the liquidators is at 5pm on 18 February by email to [email protected].

Meeting will be held at 10 Collyer Quay, #17-01 Ocean Financial Centre, Singapore 049315 on 25 February at 3pm (Singapore time), according to Government Gazette notice.

The first and final meeting of Maritime International Offshore Pte Ltd, which is in liquidation, has been scheduled to take place on 25 February, according to the company’s liquidators on a notice posted on Friday (24 January) on the Government Gazette.

The meeting will be held at 10 Collyer Quay, #17-01 Ocean Financial Centre, Singapore 049315 at 3pm (Singapore time).

The agenda of the meeting is the following:

  1. a) To receive, from the Liquidators and/or their duly authorised representative(s), a brief update on matters attended to in the Company’s winding up;
  2. b) To approve the Liquidators’ fees and disbursements, amounting to SGD 20,740.00 (excluding GST) and SGD 899.88 (excluding GST), respectively; and
  3. c) Any other matters relevant to the Company’s winding up.

Forms of general and special proxies are available at the Liquidators’ office. Proxies to be used at the meeting must be lodged by no later than 4pm (Singapore time) on the 24 February 2025.

Manifold Times previously reported the High Court of Singapore issuing a winding up order to Maritime International Offshore. 

The winding up application was filed by India-registered IL&FS Energy Development Company Limited on 27 December 2023.
