Singapore: Vanda Marine Services undergoes voluntary liquidation

Several resolutions for shipping and chartering services provider Vanda Marine Services Pte Ltd were made during an extraordinary meeting held on Monday (4 March), according to a Government Gazette notice on 11 March.

The duly passed resolutions were: 

SPECIAL RESOLUTIONS

  1. That pursuant to Section 160(1)(b) of the Insolvency Restructuring and Dissolution Act 20018, the Company be wound up voluntarily.
  2. That the Liquidator of the Company be authorised to exercise any or all of the powers given by Sections 144(1)(b), (c), (d), (e), (f), (g) and 177 of the Insolvency, Restructuring and Dissolution Act 2018.
  3. That the Liquidator be authorised to distribute among the members of the Company either in cash or in specie the whole or any part of the surplus assets of the Company in accordance with their existing rights and interests or as the Liquidator may in their absolute discretion think fit.

ORDINARY RESOLUTIONS

  1. That Mr Seah Chee Wei of Rock Stevenson Pte Ltd of 60 Paya Lebar Road #04-23 Paya Lebar Square Singapore 409051, be and is hereby appointed Liquidator of the Company for the purposes of such winding up.
  2. That the remuneration of the Liquidator be fixed on the usual scale of his professional charges for the work involved.
  3. That the books of accounts and documents of the Company and of the Liquidator be disposed of after 5 years from the date of dissolution of the Company

Another notice said creditors of the company are required on or before 11 April 2024 to send in their names and addresses and particulars of their debts or claims, and the names and addresses of their solicitors (if any) to the Liquidator of the said company.

If so required by notice in writing by the said Liquidator are, by their solicitors or personally, to come in and prove their debts or claims at such time and place as shall be specified in such notice, or in default thereof they will be excluded from the benefit of any distribution made before such debts are proved.

The final meeting of the company and creditors for Vanda Marine Services Pte Ltd, has been scheduled to take place on 7 March, according to the company’s liquidator on a notice posted on Friday (7 February) on the Government Gazette.

The meeting will be held at 8 Burn Road, Trivex #16-12, Singapore 369977 at 11am. It is being held for the purpose of having an account laid before the meeting showing the manner in which the winding-up has been conducted and the property of the company has been disposed of and hearing any explanation that may be given by the liquidator.

Notes:

  • By post to the Liquidator’s office at 8 Burn Road, Trivex #16-12, Singapore 369977 not later than 12.00 p.m. on 6 March 2025 or adjourned meeting at which it is to be used.

2) A corporation which is a member of the Company may, by resolution of its directors, authorise any person to act as its representative at any meeting of the Company, and such representative shall be entitled to exercise the same powers on behalf of the Corporation which he represents as if he had been an individual member of the Company.
