Singapore: Vanda Marine Services undergoes voluntary liquidation

Several resolutions for shipping and chartering services provider Vanda Marine Services Pte Ltd were made during an extraordinary meeting held on Monday (4 March), according to a Government Gazette notice on 11 March.

The duly passed resolutions were: 

SPECIAL RESOLUTIONS

  1. That pursuant to Section 160(1)(b) of the Insolvency Restructuring and Dissolution Act 20018, the Company be wound up voluntarily.
  2. That the Liquidator of the Company be authorised to exercise any or all of the powers given by Sections 144(1)(b), (c), (d), (e), (f), (g) and 177 of the Insolvency, Restructuring and Dissolution Act 2018.
  3. That the Liquidator be authorised to distribute among the members of the Company either in cash or in specie the whole or any part of the surplus assets of the Company in accordance with their existing rights and interests or as the Liquidator may in their absolute discretion think fit.

ORDINARY RESOLUTIONS

  1. That Mr Seah Chee Wei of Rock Stevenson Pte Ltd of 60 Paya Lebar Road #04-23 Paya Lebar Square Singapore 409051, be and is hereby appointed Liquidator of the Company for the purposes of such winding up.
  2. That the remuneration of the Liquidator be fixed on the usual scale of his professional charges for the work involved.
  3. That the books of accounts and documents of the Company and of the Liquidator be disposed of after 5 years from the date of dissolution of the Company

Another notice said creditors of the company are required on or before 11 April 2024 to send in their names and addresses and particulars of their debts or claims, and the names and addresses of their solicitors (if any) to the Liquidator of the said company.

If so required by notice in writing by the said Liquidator are, by their solicitors or personally, to come in and prove their debts or claims at such time and place as shall be specified in such notice, or in default thereof they will be excluded from the benefit of any distribution made before such debts are proved.

Annual general meetings for An Hui Shipping are to be held:

  • Annual general meeting of the Company at 10:00 a.m.
  • Annual general meeting of the creditors of the Company at 11:00 a.m

Annual general meetings for Nan Yi Maritime are to be held:

  • Annual general meeting of the Company at 2:00 p.m.

The creditors’ meeting of An Zhong Shipping Pte. Ltd, has been organised by the liquidator of the company, states a Thursday (19 September) notice posted on the Government Gazette. 

The meeting for creditors of the company will be held at 144 Robinson Road, #14-02 Robinson Square, Singapore 068908, on 4 October at 10.30 am. 

The purposes of the meeting are:

  • receiving a statement of the Company’s affairs together with a list of creditors and the estimated amounts of their claims;
  • appointing Liquidator(s);
  • appointing a committee of inspection of not more than 5 members, if thought fit;
  • any other business.

A creditor entitled to attend the above meeting may appoint a proxy to attend in his stead. A proxy need not be a creditor of the Company. The instruments appointing a proxy must be lodged in the following manner:

  • by email to the email address at ([email protected]); or
  • by post to 144 Robinson Road, #14-02 Robinson Square, Singapore 068908; not later than 4.00 p.m. two days before the meeting or adjourned meeting at which it is to be used.
