Singapore: K3 Shipping Pte Ltd to be wound up voluntarily

Creditors are to send in proofs of their debts and claims to the appointed liquidators, on or before 5 August, according to a notice on Government Gazette.

Members of K3 Shipping Pte Ltd have decided to voluntarily wind up the company during an Extraordinary General Meeting held on 28 January, according to a Friday (5 July) notice on the Government Gazette.

The following resolutions were unanimously resolved at the meeting of the company:

Special Resolutions

  1. That the Company be wound up as a Members’ Voluntary Liquidation pursuant to Section 160(1)(b) of the Insolvency, Restructuring and Dissolution Act 2018.
  2. That the Liquidators may divide among the contributories in specie or kind the whole or any part of the assets of the Company.
  3. That the Liquidators be authorised to exercise any or all of the powers provided under Section 144(1)(b), (c), (d), (e), (f) and (g) of the Insolvency, Restructuring and Dissolution Act 2018.

Ordinary Resolutions

  1. That Goh Yeow Kiang Victor, Khor Boon Hong and Lee Yi Ying, Marie care of Baker Tilly Consultancy (Singapore) Pte Ltd, 600 North Bridge Road, #05-01 Parkview Square, Singapore 188778, be appointed joint and several Liquidators for the purpose of such liquidation and that the Liquidators be indemnified by the Company against all costs, charges, losses, expenses and liabilities incurred or sustained by them in the execution and discharge of their duties.
  2. That the remuneration of the Liquidators, in respect of themselves, their partners and staff, be fixed on a time basis at rates normally charged for such an assignment plus the necessary disbursements.

In the second notice, the Liquidators called for creditors of the company to send in their names and addresses with particulars of their debts and claims and the names and addresses of their solicitors (if any) by Monday, 5 August.

Additionally, if so required by notice in writing from the said Liquidators, creditors are to personally come in or via their Solicitors, to prove their debts and claims at such time and place as shall be specified or in default be excluded from the benefit of any distribution made before such debts and claims are proved.

According to a The Straits Times report in February 2023, Vignish Vijelal, former director of a shipbuilding company, Lal Marine & Construction (LMC), was sentenced to five years’ jail, after he cheated a financing firm, Capital March Platform (CMP), of over $1.3 million by using 10 fake invoices.

Each invoice was accompanied by a work order purportedly between LMC and offshore structure builder Keppel Fels. However, there was no contract between LMC and Keppel Fels in relation to the painting and blasting works stated on the 10 work orders.

Instead, for each of the 10 LMC work orders, there was a corresponding genuine work order between another firm – Lal Offshore Marine (LOM) – and Keppel Fels.

LOM was the sister company of LMC at the time of the offences, and Vignish and his father were directors at LOM.
